Agreement to Terms
Welcome to Rao Bros. By accessing our website or using our multi-marketplace management services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you and Rao Bro's LLC.
1. Services Overview
Rao Bros provides multi-marketplace management services for furniture, home décor, art, rugs, and related home goods businesses. Our services include but are not limited to:
- Marketplace account setup and management
- Product listing creation and optimization
- Inventory synchronization
- Order management
- Performance analytics
- Customer service coordination
Specific services are outlined in your individual service agreement.
2. Eligibility
To use our services, you must:
- Be at least 18 years of age
- Have legal authority to enter into binding contracts
- Operate a legitimate business selling eligible product categories
- Provide accurate and complete information
- Comply with all applicable laws and marketplace policies
3. Account Registration and Security
Your Responsibilities:
- Provide accurate, current, and complete business information
- Maintain the security and confidentiality of account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
- Keep contact information updated
Our Rights:
- Verify information provided during registration
- Suspend or terminate accounts for violations
- Refuse service to any applicant
4. Marketplace Accounts
Account Ownership:
You retain full ownership of all marketplace seller accounts (Amazon, Wayfair, eBay, etc.). Rao Bros acts as your authorized agent to manage these accounts on your behalf.
Access and Authorization:
By using our services, you grant Rao Bros permission to:
- Access and manage your marketplace accounts
- Create, modify, and optimize product listings
- Manage inventory and pricing
- Respond to customer inquiries (when applicable)
- Access sales data and analytics
Your Obligations:
- Maintain good standing on all marketplace platforms
- Comply with each marketplace's terms of service and policies
- Provide necessary access credentials securely
- Inform us of any platform policy changes affecting your account
5. Service Fees and Payment
Fees:
Service fees are outlined in your individual service agreement and may include:
- Monthly management fees
- Percentage-based commission on sales
- Setup fees for new marketplaces
- Additional fees for premium services
Payment Terms:
- Fees are billed according to your service agreement
- Payment is due within the specified timeframe
- Late payments may result in service suspension
- You are responsible for all applicable taxes
Fee Changes:
We reserve the right to modify fees with 30 days' written notice. Continued use of services after notice constitutes acceptance of new fees.
6. Product Listings
Content Ownership:
You retain all rights to your product content (descriptions, images, pricing). You grant Rao Bros a non-exclusive, worldwide license to use this content for providing services.
Content Requirements:
You represent and warrant that:
- You own or have rights to all product content
- Content does not infringe on third-party intellectual property
- Product descriptions are accurate and not misleading
- Images truthfully represent products
- Pricing complies with all laws and marketplace policies
Prohibited Products:
We do not list products that:
- Violate laws or marketplace policies
- Infringe intellectual property rights
- Are counterfeit or unauthorized replicas
- Are prohibited by the marketplaces we serve
7. Inventory and Order Fulfillment
Your Responsibilities:
- Maintain accurate inventory levels
- Fulfill orders within stated timeframes
- Ship products as described in listings
- Provide tracking information
- Handle returns according to your stated policy
- Maintain product quality standards
Our Role:
We manage inventory synchronization and order aggregation but do not handle physical fulfillment. You are solely responsible for shipping, quality, and customer satisfaction related to physical products.
8. Performance and Results
No Guarantees:
While we work to optimize your marketplace presence, we cannot guarantee:
- Specific sales volumes or revenue
- Marketplace search rankings
- Approval by marketplace platforms
- Protection from marketplace policy changes
Best Efforts:
We commit to providing professional services using industry best practices and our expertise in multi-marketplace management.
9. Marketplace Policy Compliance
Platform Changes:
Marketplaces frequently update policies and algorithms. We make reasonable efforts to stay current, but cannot be responsible for:
- Unexpected marketplace policy changes
- Account suspensions due to platform decisions
- Changes in marketplace fee structures
- Platform outages or technical issues
Compliance Assistance:
We will work with you to address compliance issues, but ultimate responsibility for adherence to marketplace policies rests with you as the account owner.
10. Intellectual Property
Rao Bros Property:
All website content, software, tools, processes, and materials created by Rao Bros remain our exclusive property. You may not:
- Copy, modify, or create derivative works
- Reverse engineer our systems or processes
- Use our methods for competing services
- Share our proprietary information
Your Property:
We respect your intellectual property rights and will use your content only as necessary to provide agreed services.
11. Confidentiality
Both parties agree to:
- Protect confidential information
- Use confidential information only for authorized purposes
- Not disclose confidential information to third parties without consent
- Return or destroy confidential information upon request
12. Limitation of Liability
Service "As Is":
Services are provided "as is" and "as available" without warranties of any kind, express or implied.
Limitation:
To the maximum extent permitted by law, Rao Bros shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Service interruptions
- Third-party actions (including marketplace decisions)
Maximum Liability:
Our total liability shall not exceed the fees you paid to Rao Bros in the 12 months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless Rao Bros, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your products or business operations
- Violation of these Terms
- Infringement of third-party rights
- Your marketplace account activities
- Violation of laws or marketplace policies
14. Term and Termination
Contract Term:
The service agreement begins upon acceptance and continues as specified in your individual service agreement.
Termination by You:
You may terminate services with written notice according to your service agreement terms.
Termination by Us:
We may suspend or terminate services if:
- You violate these Terms
- Your marketplace accounts are suspended
- Fees remain unpaid after notice
- Continuing service would violate laws or policies
- You engage in fraudulent or harmful activity
Effects of Termination:
- Outstanding fees become immediately due
- Access to our systems will be revoked
- We will provide data export as specified in service agreement
- Confidentiality obligations survive termination
15. Dispute Resolution
Governing Law:
These Terms are governed by the laws of New York, without regard to conflict of law provisions.
Arbitration:
Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules in New York.
Exceptions:
Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.
Class Action Waiver:
You agree to resolve disputes individually and waive the right to participate in class actions.
16. General Provisions
Entire Agreement: These Terms, together with your service agreement, constitute the entire agreement between parties.
Modifications: We may modify these Terms with 30 days' notice. Continued use constitutes acceptance of changes.
Severability: If any provision is found unenforceable, remaining provisions remain in effect.
No Waiver: Failure to enforce any right does not constitute a waiver of that right.
Assignment: You may not assign these Terms without our written consent. We may assign to affiliates or in connection with business transfers.
Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
